In short: We take a deposit first, then buy the domain and start work. You don't pay the full fee before you see the draft. The domain and the site are yours. If we fail to deliver through our own fault, we refund all your money.
1. Parties
This contract is between [Company name] ([Address], [Tax office and number]) ("Vitrinkur") and the individual or legal entity buying services from Vitrinkur ("Customer"). The Customer is deemed to have accepted this contract when they confirm their order by WhatsApp, by email or in writing, or when they pay the deposit.
2. Subject and scope
Vitrinkur designs, sets up and publishes a website according to the package chosen by the Customer (Showcase, Business, E-commerce or Custom project) and the add-ons approved in writing. The scope of the service consists of the package contents published on the website and the order summary agreed in writing between the parties. Pages, features, integrations and content creation not stated in this scope are priced separately.
3. Fees and payment
- The prices shown on the website include VAT. The applicable price is the price valid on the day the order is confirmed.
- 50% of the fee is paid as a deposit when the order is confirmed, and the remaining 50% is paid before the site goes live. Payments are made by bank transfer (havale or EFT), and an invoice is issued.
- Until the remaining fee is paid, the site is not published on the Customer's domain and the rights in Section 8 are not transferred.
- Payment provider commissions (e.g. iyzico, PayTR), e-invoice or e-archive service fees, shipping agreements, ad budgets, paid plugins and similar third-party fees are not included in the price and are paid by the Customer.
4. Domain
The Customer can obtain the domain in one of two ways:
- Vitrinkur buys it. The Customer approves the desired domain in writing; Vitrinkur registers the domain in the Customer's name after the deposit is paid. The first year's fee is included in the package price. If the Customer wants to change the approved domain after it has been registered, the fee for the new domain is paid by the Customer.
- The Customer buys it. The Customer buys the domain in their own name from a provider of their choice and gives Vitrinkur the access needed to set up DNS. In this case, the domain fee is paid by the Customer and the package price does not change.
In both cases, the domain is the Customer's property. Vitrinkur is not responsible if the requested domain has already been taken by someone else; in that case, the parties agree on a new domain. From the second year, the renewal fee is the amount stated on the website. If the renewal fee is not paid at least 15 days before expiry, Vitrinkur is not obliged to renew the domain and hosting, and cannot be held responsible for any losses caused by the expiry.
5. Delivery time
- The delivery times stated on the website (Showcase 3 days, Business 1 week) are counted in business days. They start from the day the deposit is paid and the logo, texts, photos, address and similar content have been fully delivered.
- For E-commerce and Custom projects, the schedule is set in writing after the first meeting.
- Delays by the Customer in providing content or feedback, third-party approval processes (payment institution, domain registration, marketplace approvals) and force majeure extend the delivery time by the same amount.
- If the Customer does not provide the requested content or feedback for 30 days, Vitrinkur may terminate the contract; in that case, the refund rules in Section 7 apply.
6. Revisions and acceptance
- Each package includes the number of revision rounds stated on the website (Showcase 1, Business 2, E-commerce 3). A revision round means sending, all at once, the change requests that fall within the approved design and scope.
- Changes to text, photos and colors are free for 30 days after launch. A new page, a new feature or a complete redesign does not count as a revision and is priced separately.
- After Vitrinkur notifies the Customer in writing (including by WhatsApp or email) that the site has been delivered, the site is deemed accepted if the Customer does not report a specific error in writing within 7 days.
7. Withdrawal, termination and refunds
| Situation | Refund |
|---|---|
| The Customer changes their mind before work starts | The deposit is refunded, minus the domain fee if the domain has been bought. |
| The Customer changes their mind after work has started or after the draft has been delivered | The deposit is not refunded. The Customer keeps the domain. |
| After the site has been accepted | No refund. |
| Vitrinkur fails to deliver the site through its own fault | The full amount paid is refunded. |
If the Customer is a consumer: Under the Mesafeli Sözleşmeler Yönetmeliği (Turkish Distance Contracts Regulation), there is a 14-day right of withdrawal. If the Customer expressly asks for work to start before the withdrawal period ends and the service starts with their approval, the right of withdrawal cannot be used, under Article 15 of the Regulation. Vitrinkur obtains this approval in writing before starting work.
8. Intellectual property rights
- Once the full fee has been paid, the rights to adapt, reproduce, distribute, perform and communicate to the public the designs and content prepared specifically for the Customer are transferred to the Customer without time limit, for use on the Customer's own website.
- General code, components and templates that Vitrinkur developed beforehand remain with Vitrinkur; the Customer may use them on their own website without time limit.
- Fonts, plugins and stock images are subject to their own licenses.
- Vitrinkur may show the site as a reference unless the Customer states otherwise in writing.
9. Customer's responsibilities
- The Customer confirms that they have the right to use the texts, logos, photos, trademarks and other content they give to Vitrinkur, and that this content is not unlawful. The Customer is responsible for any claims and penalties from third parties arising from this content; Vitrinkur has a right of recourse against the Customer for any amounts it has to pay.
- The Customer is the data controller for the personal data collected on their own website. The KVKK (Turkish Personal Data Protection Law No. 6698), cookie and distance sales texts provided by Vitrinkur are samples only; the Customer checks with their own adviser whether they are suitable for their business.
- The Customer is solely responsible for all legal obligations relating to the products and services sold on the site (prices, returns, warranties, taxes, permits and licenses).
- The Customer is responsible for keeping the admin panel and email passwords given to them secure.
10. Limitation of liability
- Vitrinkur does not guarantee any particular ranking on Google or other search engines, or any number of visitors, sales or earnings.
- Vitrinkur is not responsible for outages and errors in third-party services such as hosting, domains, payments, shipping and email; it makes reasonable efforts to have the problem fixed.
- Except in cases of intent and gross negligence, Vitrinkur's total liability under this contract is limited to the amount the Customer paid for the relevant service. Except in cases of intent and gross negligence, it is not liable for loss of profit, loss of data or indirect damages.
11. Maintenance and monthly services
Maintenance, Google Ads and SEO services are paid monthly in advance. Either party may end the service with 30 days' written notice. The service is suspended for any month that is not paid. The Google Ads ad budget belongs to the Customer and is paid directly to Google.
12. Confidentiality
The parties keep confidential the business information and passwords they learn during the work. Personal data is processed in line with the KVKK Privacy Notice.
13. Force majeure
In events beyond the parties' control, such as natural disasters, epidemics, war, widespread power or internet outages and changes in the law, obligations are suspended for as long as the event lasts.
14. Correspondence and evidence
WhatsApp messages and emails between the parties and Vitrinkur's records are deemed conclusive evidence under Article 193 of the Hukuk Muhakemeleri Kanunu (Turkish Code of Civil Procedure). Notices are sent to the phone number or email address the Customer gave when ordering.
15. Disputes
This contract is governed by the laws of the Republic of Turkey. The [City] Courts and Enforcement Offices have jurisdiction over disputes. If the Customer is a consumer, the Consumer Arbitration Committees have jurisdiction within the legal monetary limits, and the Consumer Courts above those limits.
